In addition to counseling clients on day-to-day general business matters, Stein Law has a broad range of transactional experience assisting clients in a variety of corporate and organizational areas, including entity formation and governance, private offerings, the structuring and negotiation of limited liability company operating agreements, shareholder agreements and buy/sell agreements, license and maintenance agreements and commercial contracts.

Loan Financings and Legal Opinions

Stein Law represents borrowers and lenders in connection with secured and unsecured financing transactions, including start-up loans, acquisition financing, construction lending, equipment loans, account receivable financing. Our team is experienced with preparing and negotiating various types of agency financing, traditional bank loans, CMBS transactions and hard money loans.

We work with borrower principals, real estate agents and brokers and out of state legal counsel to prepare attorney opinion letters in all commercial real estate transactions, including those opinions in which we advise a client on legal matters from start to finish or for out-of-state attorneys or clients whose real estate transaction requires representation in Arizona.

Hospitality Development, Management, and Licensing

Stein Law has extensive experience representing hotel operators and developers in hospitality transactions, including hotel development, management, operational issues and licensing arrangements.
